To provide guidance on the role and responsibilities of the company secretary.

Anyone who is new to the role of company secretary.

- Be familiar with typical constitutions
- Have defined the role of the company secretary in detail
- Understood the impact and duties under the Charities Act

Content

- The role of the company secretary
- The relationship between company law and charity law
- Structure of charities, the role of trustees and management committees
- The duties of the company secretary: administration, register of meetings, directors’ meetings, extraordinary general meetings, the AGM and its preparation, sub-committees, dealing with Companies House and Annual Returns
- Dealing with special situations
- The impact and duties under the Charities Act
